ZEEKR EVENTS CONFIDENTIALITY TERMS

By registering for and attending this event (the “Event”), you (“Attendee”) acknowledge and agree to be bound by these confidentiality terms (‘‘Terms’’) towards Zeekr EU B.V., a private limited liability company under Dutch law, with registered address at Jachthavenweg 112, 1081 KJ Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce under number 88529789 (“Zeekr”).

1. Confidential Information

“Confidential Information” means any non-public information disclosed or made available to the Attendee in connection with the Event, whether orally, visually, in writing, electronically, or otherwise. This includes but is not limited to technical, practical, commercial, business, financial, marketing, design, existing and future products, and strategic information.

“Personal Data” means any information that relates to any identified or identifiable natural person, i.e. that can be directly or indirectly identified or enables conclusions to be drawn about this person, according to sec. 4 no. 1 of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation).

Notwithstanding the above, these Terms impose no confidentiality obligation upon the Attendee with respect to Confidential Information which is demonstrated by the Attendee as:

  1. in the Attendee’s lawful possession before receipt from Zeekr;
  2. publicly known at the time of disclosure or thereafter, or accessible to the public, through no fault of the Attendee;
  3. rightfully received by the Attendee from a third party without a duty of confidentiality;
  4. disclosed by the Attendee with Zeekr’s prior written approval; or
  5. independently developed by the Attendee’s employees or agents without access to the Confidential Information.

2. Specific Obligations

The Attendee agrees to:

  1. Keep all Confidential Information strictly confidential.
  2. Not disclose Confidential Information to any third party.
  3. Not use Confidential Information for any purpose other than attending and participating in the Event.
  4. Take reasonable precautions to prevent unauthorized use or disclosure.
  5. Accept and comply with any reasonable security measures imposed by Zeekr during the Event to protect Confidential Information, including but not limited to requests to cover or disable personal recording devices, such as cameras or microphones, with stickers or other means provided by Zeekr.
  6. Not to copy, reproduce, or reduce to writing any such Confidential Information.
  7. Notify Zeekr immediately upon becoming aware of or suspecting that there may have been a breach of confidence in respect of the Confidential Information.
  8. Not transfer any Personal Data under these Terms and enter into a specific Data Processing Agreement prior to the sharing of any Personal Data held by Zeekr.

3. Legal Disclosures

Nothing in these Terms shall prohibit the Attendee from disclosing the Confidential Information to the extent that such disclosure is required by law or by the rules of any applicable regulatory authority, provided that, if legally permitted, prior to such disclosure, the Attendee promptly notifies Zeekr and cooperates with Zeekr regarding the form, nature, content and purpose of such disclosure or any action which Zeekr may reasonably take to challenge the validity of such requirement.

4. No Rights or Licences

All Confidential Information remains the exclusive property of Zeekr. No license or rights are granted to the Attendee under any intellectual property of Zeekr by disclosure of Confidential Information.

5. Remedies

Without prejudice to any other rights or remedies of Zeekr, the Attendee acknowledges and agrees that damages would not be an adequate remedy for any breach by it of these Terms and that Zeekr shall (without limitation) be entitled to seek the remedies of injunction, specific performance and other equitable relief for any threatened or actual breach of these Terms.

6. Duration

The Attendee confidentiality obligations under these Terms remain in effect for five (5) years after the Event.

Irrespective of the above, the confidentiality obligation for Confidential Information that qualifies as a trade secret expires when it no longer qualifies as a trade secret.

7. Return or deletion of Confidential Information

Upon written request from Zeekr, the Attendee shall return or destroy with written confirmation to Zeekr, all copies of writings, pictures, videos and other materials in its possession or control that contain Confidential Information received under these Terms. Notwithstanding the preceding sentence, the Attendee may retain copies of Confidential Information stored on backup disks or in backup storage facilities automatically produced in the ordinary course of business as well as any such Confidential Information which the Attendee is required to retain under law or the professional standards of its professional governing body. Any Confidential Information so retained will be held subject to the non-disclosure and non-use limitation of these Terms.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands, without giving effect to its principles of conflict of laws. The Attendee irrevocably agrees that the courts of Amsterdam, the Netherlands, have exclusive jurisdiction to settle any disputes which may arise out of or in connection with these Terms or the subject matter hereof and submits to the jurisdiction thereof.
